1. Acceptance of These Terms

These Terms of Service (“Terms”) govern your access to and use of the website located at plasma.ai (the “Site”), operated by Plasma AI Inc., a Delaware corporation (“Plasma,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

These Terms apply to your use of the Site only. If you or your organization have entered into a separate written agreement with Plasma (such as a Master Services Agreement, order form, or similar contract) governing your use of Plasma’s products or services, that agreement will govern your use of those products or services and will control over these Terms in the event of any conflict.

2. About Plasma

Plasma builds infrastructure for the emerging economy of intelligence. The Site is a marketing website that provides information about Plasma and our current and planned products. The Site does not currently include any product, account, or service that you can purchase, subscribe to, or log into.

3. Eligibility

You must be at least 18 years old to use the Site. By using the Site, you represent and warrant that you meet this requirement and that you have the legal capacity to agree to these Terms. If you are using the Site on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

4. Permitted Use

You may access and use the Site for lawful informational purposes. You agree not to:

• Use the Site in any way that violates any applicable law or regulation
• Attempt to gain unauthorized access to any portion of the Site or any related systems or networks
• Use any robot, spider, scraper, or other automated means to access the Site for any purpose without our prior written consent (other than for legitimate search engine indexing)
• Interfere with or disrupt the integrity or performance of the Site
• Reverse engineer, decompile, or attempt to derive the source code of any software made available through the Site
• Use the Site to transmit any viruses, malware, or other harmful code
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Collect or harvest information about other users
• Use the Site for any commercial purpose other than evaluating Plasma’s products or contacting us about a potential business relationship

5. Intellectual Property

The Site and all content on it, including text, graphics, logos, images, and software, are the property of Plasma or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

The name “Plasma,” the Plasma logo, and any related names, logos, product and service names, designs, and slogans are trademarks of Plasma. You may not use these marks without our prior written permission.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your internal business informational purposes. This license does not include any right to download, copy, modify, distribute, sell, or otherwise exploit any content on the Site, except as expressly permitted by us in writing.

6. Feedback

If you submit suggestions, ideas, feedback, or other information to us about the Site or our products (“Feedback”), you grant Plasma a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, sublicensable license to use, reproduce, modify, and exploit such Feedback for any purpose, without compensation or attribution to you.

7. Third-Party Links

The Site may contain links to third-party websites or resources. We provide these links for convenience only and do not endorse or assume responsibility for the content, accuracy, or practices of any third-party site. Your use of any third-party site is at your own risk and subject to the terms and policies of that site.

8. AI Outputs

Plasma develops artificial intelligence technology, and the Site may describe or illustrate outputs that could be generated by AI systems Plasma develops or makes available (“Outputs”). You acknowledge and agree that:

• Outputs are generated by automated systems and may be inaccurate, incomplete, outdated, or otherwise unreliable
• Any examples or descriptions of Outputs on the Site are provided for informational purposes only and should not be relied upon without independent verification
• Outputs are not a substitute for professional advice and should not be treated as legal, financial, medical, or other professional guidance
• You are solely responsible for evaluating the accuracy and appropriateness of any Output for your intended use, and for any decisions or actions you take based on it

Plasma does not warrant that Outputs will be correct, error-free, or suitable for any particular purpose.

The Site may include descriptions of products, features, roadmaps, research, or other forward-looking statements about Plasma’s current or future business. 10. Trade Controls

You must comply with all applicable trade laws, including U.S. and other export control and economic sanctions laws and regulations. You represent and warrant that: (a) you are not located in, and are not a national or resident of, any country or region subject to comprehensive U.S. embargoes (currently including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine); (b) you are not identified on any list of restricted or prohibited parties maintained by the U.S. government or other applicable authority; and (c) you will not access, use, or export the Site or any related information or technology in violation of applicable trade laws.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PLASMA DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, PLASMA DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT THE INFORMATION ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT. ANY RELIANCE YOU PLACE ON SUCH INFORMATION IS STRICTLY AT YOUR OWN RISK.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PLASMA OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF PLASMA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PLASMA’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SITE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PLASMA, IF ANY, IN CONNECTION WITH YOUR USE OF THE SITE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

YOU ACKNOWLEDGE AND AGREE THAT THE LIMITATIONS OF LIABILITY IN THIS SECTION ARE AN ESSENTIAL PART OF THE BASIS OF THE BARGAIN BETWEEN YOU AND PLASMA, AND WILL APPLY EVEN IF THE REMEDIES AVAILABLE UNDER THESE TERMS ARE FOUND TO HAVE FAILED THEIR ESSENTIAL PURPOSE.

THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. NOTHING IN THESE TERMS LIMITS OR EXCLUDES LIABILITY FOR (I) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE; (II) FRAUD OR FRAUDULENT MISREPRESENTATION; (III) GROSS NEGLIGENCE OR WILLFUL MISCONDUCT; OR (IV) ANY OTHER LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE MANDATORY LAW.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations in this section apply to the fullest extent permitted by law.

13. Indemnification

If you are a business, organization, or other legal entity, or are using the Site on behalf of one, to the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Plasma and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your access to or use of the Site; (b) your violation of these Terms; or (c) your violation of any rights of a third party.

14. Termination

We reserve the right, in our sole discretion, to block, suspend, or restrict your access to the Site at any time, with or without notice, if we believe your use violates these Terms or could harm Plasma, our users, or any third party. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.

15. Governing Law

These Terms and any dispute arising out of or related to these Terms or the Site will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles.

16. Dispute Resolution; Venue

Any dispute, claim, or controversy arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in the State of Delaware. You and Plasma each consent to the personal jurisdiction of these courts and waive any objection to venue in these courts.

17. Changes to These Terms

We may modify these Terms at any time. If we make material changes, we will update the “Last Updated” date at the top of these Terms and, where appropriate, provide additional notice (such as a banner on the Site). Your continued use of the Site after any update constitutes your acceptance of the revised Terms.

18. Miscellaneous

• Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Plasma regarding your use of the Site, and supersede all prior agreements and understandings.
• Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or, if not possible, severed from these Terms. The remaining provisions will remain in full force and effect.
• No waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms freely.
• No agency. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Plasma.
